1. Purpose
These terms and conditions of sale govern the sale, by SDiTech (SASU) (“we”), of licenses to use the Facet Lab software (“the software”) to any person who places an order on the facetlab.fr website (“you”), whether a consumer or a professional.
Facet Lab is gemstone cut design software (facet diagrams, calculation of angles and indexes, rendering and optical simulation) for Windows 10 and 11, 64-bit. The system requirements are shown on the Download page.
2. Free trial
A full trial version can be downloaded free of charge and used for 30 days from its first activation, on 2 computers, with the trial key of your (free) customer account. Each computer is entitled to only one trial, and the trial is not available in a virtual machine. We invite you to check during this trial that the software suits your needs and your computer before making any purchase.
3. License
The purchase grants you a personal, non-exclusive and non-transferable license of use, for an unlimited period (perpetual license), on the number of seats stated in the offer. It entitles you free of charge to all software updates, including new major versions, with no subscription.
The license takes the form of a key, available in your customer area as soon as payment is confirmed, which is activated in the software with your account’s email address and password. Activating a seat requires an Internet connection, and every new computer must be authorized from a link emailed to the account holder. The software then checks the license online, discreetly, each time it starts when the network is available; without a successful check for 7 days, it switches to read-only mode (your files remain viewable) until the next connection. You can release a seat from your customer area to install the software on another computer, up to 2 releases per 30-day period; beyond that, in case of hardware failure or theft, write to us.
Your credentials and your license are strictly personal: sharing them with a third party so that they can use the software is prohibited, and clearly shared use may lead to suspension of the license after we have invited you to explain.
It is prohibited to decompile, modify, rent, resell or distribute the software or the key, except where permitted by law (art. L122-6-1 of the French Intellectual Property Code).
4. Prices
Prices are shown in euros, including all taxes. Current offers:
Perpetual license: €149.00 incl. VAT, 2 seats.
The applicable price is the one displayed at the time of the order. No subscription or recurring payment is charged.
5. Order and payment
Orders are placed from your customer area (free account creation). Before paying, you check the order summary and the identity shown on the invoice, and you accept these terms.
Payment is made by credit card or by the other methods offered, on the secure page of our payment provider Mollie B.V. We never have access to your bank details. The order is final once the payment is accepted.
An invoice is issued for each order and is available in your customer area. A confirmation email is sent to you, summarizing the order and your choices regarding the right of withdrawal.
6. Delivery
The license key is provided immediately after payment is confirmed, in your customer area. The software is downloaded from the website. No physical media is shipped.
7. Right of withdrawal (consumers)
In accordance with article L221-28, 13° of the French Consumer Code, the right of withdrawal cannot be exercised for the supply of digital content not supplied on a tangible medium, the performance of which has begun with your prior express consent, and for which you have waived your right of withdrawal.
When ordering, you expressly request immediate delivery of the license key and you acknowledge that you thereby lose your right of withdrawal. Without this consent, the order cannot be placed online: write to us at contact@facetlab.fr for an order with delivery deferred until the end of the 14-day withdrawal period.
The 30-day free trial lets you evaluate the software before any purchase.
8. Legal guarantee of conformity (consumers)
As a consumer, you benefit from the legal guarantee of conformity for digital content (articles L224-25-12 et seq. of the French Consumer Code) for two years from the supply of the license. During this period, you only need to establish the existence of the lack of conformity. The guarantee includes the supply of the updates needed to keep the software in conformity.
It entitles you to have the software brought into conformity free of charge and within a reasonable time; failing that, or if the defect is serious enough, to a price reduction or to cancellation of the sale with a refund. To exercise it, write to us at contact@facetlab.fr describing the defect you have found.
A defect resulting from a configuration that does not meet the system requirements, or from a modification of the software by a third party, does not constitute a lack of conformity.
9. Use and liability
The software’s calculations (angles, indexes, yields, renders) are design aids: check them before cutting a valuable stone. We cannot be held liable for any loss of material resulting from their use without verification.
We cannot be held liable when the damage results from your own action, from the unforeseeable and insurmountable action of a third party to the contract, or from force majeure. Towards a consumer, liability is otherwise assessed under ordinary law.
Towards a professional customer, our liability is limited to direct and foreseeable damage and may not exceed the price paid for the license concerned.
10. Professional customers
The right of withdrawal and consumer mediation are reserved for consumers, except where the law extends them to a professional with no more than five employees purchasing outside their main business activity (art. L221-3 of the French Consumer Code). An invoice in the organization’s name is issued from the information entered in the customer area (company name, SIRET, VAT number).

12. Language of the contract
These terms are offered in French, English and Spanish. In the event of any difference between these versions, the French version prevails. Invoices are issued in French.
13. Complaints and disputes
These terms are governed by French law. In case of difficulty, first send us a written complaint at contact@facetlab.fr.
For a dispute between professionals, the competent courts are those with jurisdiction over the registered office of SDiTech, unless a mandatory provision states otherwise.
In accordance with articles L. 611-1 and R. 612-1 et seq. of the French Consumer Code, when a consumer has sent a written complaint to our customer service and has not obtained satisfaction or a reply within two months, they may submit their complaint free of charge to the consumer mediator. The mediator must be contacted within a maximum of one year from the initial complaint.
